JON S. ROBINS is a partner with Klehr Harrison Harvey Branzburg LLP, in the firm's real estate and finance department. His practice includes a full range of finance and real estate activities for private equity funds, capital markets and institutional lenders, hospitality owners and operators, developers, REITs, corporations, and investors. Mr. Robins has extensive experience representing private equity funds in structuring and closing joint venture investments, including senior/subordinated structured equity investments. He regularly represents capital markets and other lenders in the origination, purchase, sale, restructuring and enforcement of mortgage loans, mezzanine loans, subordinate ("B") notes, participation interests, and preferred equity investments. Mr. Robins routinely represents senior and junior lenders and structured equity investors in structuring and negotiating intercreditor, co-lender, subordination, participation, servicing, and similar agreements. Mr. Robins has a long track record representing mortgage and mezzanine lenders, as well as preferred equity investors in complex work-outs and restructurings of mortgage and mezzanine loans and equity investments, and in enforcing remedies to obtain control of defaulted properties, including conducting UCC sales. He has regularly represented lenders in the sale of REO and in the development and implementation of alternative realization strategies. Mr. Robins regularly advises hotel owners and operators on acquisitions, financings, negotiations with the franchisors, and on various operational issues. He has advised numerous companies on strategic real estate decisions, and has extensive experience representing both acquirers and targets with respect to the real estate aspects of corporate M&A transactions. He has long been active in commercial leasing, representing both landlords and tenants, and recently represented a publicly traded REIT in the renewal of a major law firm’s Philadelphia lease. Mr. Robins is a member of the Philadelphia Bar Association. He earned his B.A. degree from Colgate University and his J.D. degree from the University of Cincinnati, College of Law, where he was elected to the Order of the Coif. Mr. Robins is a frequent lecturer on structured equity and loan issues.
